{"id":1274,"date":"2024-10-16T04:59:53","date_gmt":"2024-10-16T04:59:53","guid":{"rendered":"https:\/\/medical-article.com\/?p=1274"},"modified":"2024-10-16T04:59:53","modified_gmt":"2024-10-16T04:59:53","slug":"ftc-erects-additional-administrative-barriers-to-hospital-mergers","status":"publish","type":"post","link":"https:\/\/medical-article.com\/?p=1274","title":{"rendered":"FTC erects additional administrative barriers to hospital mergers"},"content":{"rendered":"<p>Last week, the Federal Trade Commission (FTC) increased their required premerger reporting requirements for any healthcare providers such as hospitals.  <a href=\"https:\/\/www.healthcaredive.com\/news\/ftc-increases-premerger-reporting-requirements-hsr\/729701\/\">Healthcare Dive reports<\/a>:<\/p>\n<p>Thursday\u2019s update marks the first time the FTC has revised its Hart-Scott-Rodino Act premerger notification form in nearly 50 years.<br \/>The law is intended to alert officials of companies\u2019 intent to merge and offer them a short window to determine whether to conduct a more extensive antitrust review.<br \/>The FTC proposed<a href=\"https:\/\/www.healthcaredive.com\/news\/FTC-proposes-merger-review-rule-slow-healthcare-deals\/654146\/\">increasing documentation for the premerger notification process<\/a>\u00a0in June 2023. At the time,\u00a0the FTC\u00a0said it was necessary to glean a \u201c<a href=\"https:\/\/www.ftc.gov\/system\/files\/ftc_gov\/pdf\/statement_of_chair_khan_joined_by_commrs_slaughter_and_bedoya_on_the_hsr_form_and_rules_-_final_130p_1.pdf\">basic understanding of key facts<\/a>\u201d as mergers becameincreasingly complex.<br \/>Both the FTC and AHA said the final rule, which is set to go into effect 90 days after publication in the Federal Register, is less aggressive compared to the proposed rule.<br \/>However, the FTC estimates companies will still need to log 105 hours per response to comply with the final rule \u2014 an increase of 68 hours compared to current averages. In June, the agency estimated its proposal would require approximately 107 hours per response.<br \/>Provider groups said the new documentation load would unnecessarily burden companies looking to merge.\u00a0 <\/p>\n<p>Unsurprisingly, the American Hospital Association does not like the rule.  <a href=\"https:\/\/www.fiercehealthcare.com\/regulatory\/ftc-increases-premerger-notification-requirements-despite-pushback-providers\">Fierce Healthcare reports<\/a>:<\/p>\n<p> The American Hospital Association immediately pushed back on the proposal\u2026saying the increased paperwork would comprise \u201cmore information than the agencies could feasibly review in 30 days\u201d and would \u201cfunction as little more than a tax on mergers.\u201d <\/p>\n<p>The full final rule\u2013weighing in at 460 pages\u2013can be found <a href=\"https:\/\/www.ftc.gov\/system\/files\/ftc_gov\/pdf\/p110014hsrfinalrule.pdf\">here<\/a>.
